Apax India CSR

As per the provisions of the Sections 135(1) and Schedule VII of the India Companies Act, 2013 and the rules under Chapter IX made therefor, a Committee of Directors consisting of Mr. Shashank SinghMr. Salim Nathoo and Mr. Hetal Raja, has been constituted to undertake the following activities specific to Apax Partners India Advisers Private Limited, including but not limited:

1.     To formulate and recommend to the Board of Directors the CSR policy of the Company which shall indicate the activities to be undertaken by the Company as specified in Schedule VII to the Companies Act, 2013;

2.     To consider and recommend to the Board of Directors a list of certain charities to which the Company can make donations as a part of its annual CSR policy;

3.     To calculate for spending in every financial year, 2% of the average net profits of the Company made during three immediately preceding financial years;

4.     To consider and recommend to the Board of Directors the aggregate amount that the Company should spend in each financial year on the CSR activities;

5.     To consider and recommend to the Board of Directors the individual amounts the Company should spend in each financial year on the aforesaid India charities;

6.     To institute a transparent monitoring mechanism for implementation of the CSR projects or programs or activities undertaken by the company;

7.     To form a Philanthropy and Engagement team to support the CSR committee for undertaking CSR activities, monitor the progress and provide information, as may be necessary;

8.     To consider and recommend to the Board of Directors any other matter for the efficient functioning of the CSR policy of the Company.

In financial years 2014-15, 2015-16 and 2016-17, Apax Partners India’s CSR committee decided to make charitable donations to Dasra, a part of Impact Foundation (India), a non-profit organisation registered under the provisions of India Companies Act, 1956, in order to adhere to the requirements of the India Companies Act of 2013.
